Authorizing Party


  1. Automatic Shipment of IICLE Print Publications. During the term of this Agreement, IICLE agrees to provide and Subscriber agrees to accept automatic shipment of all IICLE publications products released on or after the date that IICLE accepts this Agreement. Subscribers do not receive automatic shipment of IICLE course materials or any other IICLE products or courses.
  2. No Right of Return. In consideration for a 25% (percent) discount on MasterPlan publications, subscribers waive all return privileges with respect to any and all IICLE publications automatically shipped as part of the IICLE MasterPlan.
  3. Annual Charges. IICLE will ship each IICLE publication automatically upon release along with an invoice payable within 30 days. The annual total expense varies, as this subscription is based on the number of IICLE publications actually produced and their respective prices. Total costs for the previous fiscal year are not necessarily indicative of future costs.
  4. Termination of This Agreement. This Agreement may be terminated by either party at any time and for any reason with prior written notice, 30 days in advance of cessation of shipments. Commencing on the date of termination, IICLE will immediately suspend the subscribing firm’s participation in both automatic shipment of IICLE publications; however, Subscriber is responsible for payment of any shipments pending but not yet delivered at the time notice is given. IICLE reserves the right to change the print publication pricing arrangements at any time on a prospective basis with 30 days’ prior written notice.
  5. Suspension for Non-Payment. In the event that Subscriber’s account falls more than 30 days past due for any IICLE publication invoiced as part of the Subscription established under this Agreement, IICLE will suspend automatic shipments immediately and will not reinstated Subscriber's shipments until IICLE receives full payment. IICLE reserves the right to refuse future enrollments to subscribers who have failed to pay or have made late payment.
  6. PROFESSIONAL SERVICES DISCLAIMER. IICLE PRODUCTS ARE DESIGNED FOR PRACTICING LAWYERS. WHILE IICLE PROFESSIONAL EDITORIAL STAFF THOROUGHLY EDITS AND CITE-CHECKS PUBLICATIONS (BUT NOT COURSE MATERIALS PROVIDED FOR CLE SEMINARS), IICLE AND ITS BOARD OF DIRECTORS MAKE NO WARRANTIES AS TO THE ACCURACY OF INFORMATION CONTAINED IN THOSE PRODUCTS, OR THEIR APPLICABILITY TO A PARTICULAR CLIENT SITUATION. USING THESE PRODUCTS IS NOT A SUBSTITUTE FOR THE LAWYER’S ORIGINAL LEGAL RESEARCH, ANALYSIS, AND DRAFTING. IICLE ENCOURAGES THE USER TO CONDUCT INDEPENDENT RESEARCH TO CONFIRM THE APPLICABILITY OF THE CONTENT.
  7. Limitation of Claims. Except for claims relating to IICLE charges or improper usage of an IICLE subscription, no claim, regardless of form, may be brought under this Agreement more than one year after the basis for the claim becomes known to the party asserting it.
  8. Effect of Agreement. This Agreement (which includes all current and future Schedules, Additional Terms and Conditions, licenses, and the like) embodies the entire understanding between the parties with respect to the subject matter of this Agreement and supersedes any and all prior understandings and agreements, oral or written, relating to this subject matter. Except as otherwise provided in this Agreement, IICLE may amend the Terms and Conditions of this Agreement by giving the Subscriber at least 30 days’ prior written notice. Any other amendment must be in writing and signed by both parties. Nothing in this Agreement is intended or shall be construed to confer upon any person or entity other than the parties hereto and their successors or permitted assigns, any rights or remedies under or by reason of this Agreement.
  9. Force Majeure. IICLE’s performance under this Agreement is subject to interruption and delay due to causes beyond its reasonable control, such as Acts of God, acts of any government, war or other hostility, civil disorder, the elements, fire, explosion, power failure, equipment failure, industrial or labor dispute, inability to obtain necessary supplies, epidemic, pandemic, or endemic, and the like.
  10. Notices. Except as otherwise provided in this Agreement, all notices must be made in writing (email is acceptable) to IICLE, 3161 W. White Oaks Dr. Ste 300, Springfield, IL 62704, Attention: Publications Director or to info@iicle.com, Attention: Publications Director.
  11. Governing Law. This Agreement and its performance shall be governed by the laws of the State of Illinois, United States of America, without regard to its conflict of laws provisions. Subscriber consents to the exclusive jurisdiction of the state and federal courts located in Sangamon County, the State of Illinois, United States of America, in all questions and controversies arising out of this Agreement.
  12. Assignment. Neither this Agreement nor any part or portion may be assigned, sublicensed, or otherwise transferred by Subscriber without IICLE’s prior written consent or as otherwise specified in this Agreement.
  13. Headings. The headings and captions contained in this Agreement are inserted for convenience only and do not constitute a part of this Agreement.
  14. Waiver. Failure of IICLE to enforce any provision of this Agreement will not constitute or be construed as a waiver of that provision or of the right to enforce that provision.
